Terms & Conditions for SMS Communications

These Terms and Conditions (“Terms”) govern your use of the SMS-based recruiting communication service (the “Service”) operated by Vanguard Resources, Inc., a Texas corporation (“Vanguard,” “we,” “our,” or “us”). By enrolling in the Service or exchanging messages with the Service’s designated telephone number, you (“you”) agree to these Terms. If you do not agree, do not use the Service.

Plain-language summary: This service sends job applicants transactional texts about their own application — nothing else. Enrollment is voluntary and never a condition of employment or consideration. Standard messaging rates apply. Reply STOP to opt out at any time; opting out does not affect your application.

1. Description of the Service

The Service sends text messages to job applicants who have opted in through the public form at recruiting-sms-program.vanguardresources.com and whose enrollment has been confirmed by Vanguard’s recruiting team. Messages relate solely to your application: receipt confirmation, interview scheduling and confirmation, requests to confirm details (such as availability or certifications), and application status updates. No marketing or promotional content is sent through the Service. The Service is not a consumer-facing communication channel.

2. Eligibility, enrollment, and consent

The Service is available only to individuals who have applied (or are applying) for a position with Vanguard Resources and who have affirmatively opted in through the public opt-in form. Every enrollment request is reviewed by Vanguard’s recruiting team and verified against applications on file before any mobile number is added to the Service. The consent checkbox is never pre-checked. Consent is voluntary and is not a condition of employment or of consideration for any position; applicants who do not opt in are contacted by phone or email instead.

Use of the Service by any unauthorized person is not permitted, and messages received from unenrolled numbers may be discarded, evaluated for legitimacy, or forwarded internally for review. You represent that you are at least 18 years of age and that you are the account holder of, or have authority to use, the mobile telephone number you provide.

3. Message frequency, fees, and carrier terms

Message frequency varies with your application’s activity; you can generally expect a few messages over the course of an application. Standard message and data rates from your mobile carrier may apply to all messages you send and receive. Vanguard does not charge a fee to use the Service. Mobile carriers are not liable for delayed or undelivered messages. The Service is intended for applicants in the United States on all major U.S. carriers.

4. Supported commands

The Service responds to a small set of plain-text commands. Commands are not case-sensitive.

Replies that are not recognized commands may be reviewed by the recruiting team so a recruiter can respond about your application.

5. Acceptable use

You agree to use the Service only in connection with your own job application and to comply with all applicable laws. You agree that you will not:

Vanguard reserves the right to revoke any individual’s access to the Service at any time, with or without notice, for any reason it determines in its sole discretion.

6. Communications and your information

Messages exchanged through the Service are business records of Vanguard’s hiring process. You retain ownership of the information you submit, but you grant Vanguard a non-exclusive, royalty-free license to store, process, and retain such communications as necessary to operate the Service and administer the hiring process. Opting out of the Service does not delete your job application or its materials.

7. Privacy

Information collected through the Service is handled in accordance with our Privacy Policy, available at recruiting-privacy.vanguardresources.com. Mobile information is never shared with third parties or affiliates for marketing or promotional purposes. By using the Service, you acknowledge that you have read and understood that policy.

8. Service availability

The Service is provided on an “as is” and “as available” basis. We make commercially reasonable efforts to keep the Service operational but do not guarantee uninterrupted availability. Messages may be delayed, lost, or undelivered due to factors outside our control, including carrier outages, network conditions, and third-party service interruptions. Do not rely on SMS as the sole channel for time-sensitive application matters; Vanguard will also use phone or email where appropriate.

9. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise. Vanguard disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Vanguard does not warrant that the Service will be error-free, timely, secure, or uninterrupted; that any defects will be corrected; or that messages will be delivered to or from any particular recipient.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Vanguard, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Service, even if Vanguard has been advised of the possibility of such damages. Vanguard’s total cumulative liability arising out of or related to the Service shall not exceed one hundred U.S. dollars (US $100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Vanguard and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications

Vanguard may modify these Terms at any time by posting an updated version at this URL. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Vanguard may also modify, suspend, or discontinue the Service, in whole or in part, at any time without notice and without liability.

13. Termination

You may terminate your use of the Service at any time by replying STOP to any message from the Service. Vanguard may terminate or suspend your access at any time, with or without notice, for any reason. Termination of the Service does not affect your job application. The provisions of these Terms that by their nature should survive termination, including provisions on disclaimers, limitations of liability, and indemnification, will survive.

14. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.

15. Entire agreement; severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vanguard regarding the Service and supersede any prior agreements on the same subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
